THE NUMBER $50.One would-be buyer has bid above that line, according to reports. EQT made a binding offer of more than $50 a share, people familiar with the talks said. KKR (KKR) also bid, the reports said. Qiagen (QGEN) traded as high as $50.82 in New York. It closed up about 5%, just under $49. Qiagen, EQT and KKR declined to comment. Traders bought the bid but did not pay up in full.
THE SETUP - Stocks mostly rose. The Dow gained about 1% and the S&P 500 0.3%, while the Nasdaq ended flat. Small caps rose 1.7%. Eli Lilly (LLY) gained 3.5%, and a health-care fund hit a 52-week high.
- Housing data stayed weak. Census said September starts fell 5.2%. The realtors' group said pending home sales fell 7.3%. A homebuilder fund still rose about 3%.
- The 10-year closed 5.12%.
- Northrop Grumman (NOC) rose nearly 5% and Hasbro (HAS) 11% after raising forecasts. Netflix (NFLX), SpaceX (SPCX) and Capital One (COF) reported after the close.

IN FOCUS Two Buyout Firms Bid for Qiagen, Reports Said. Braze Has a Signed Cash Price and Trades Below It.EQT is in advanced talks to buy Qiagen, a Dutch maker of lab tests, according to reports. Qiagen's board is due to meet this week on the offers. The deal would be worth about $10 billion, the reports said. Talks could still fall apart. Qiagen has been here before. Six years ago, a Thermo Fisher (TMO) offer failed when too few holders tendered. This time, two buyout firms are reported to be bidding. The reports gave no exact price, no financing and no deal structure. Braze shows how a signed deal trades. Salesforce (CRM) agreed to pay $47.50 a share in cash for Braze (BRZE). That is about 58% above Monday's close. Braze closed about 4% below the cash price. Each gap holds its own risk. Braze holders wait on approvals. Qiagen holders wait on a board meeting and a price no one has confirmed. The Floor Is Still Only Reported One reading is that traders believe the buyers' interest but not yet the number. A second is that they remember the failed Thermo Fisher bid. A signed offer at a set price would likely narrow the gap. A board that turns down both bids would widen it.

SIGNALS IN MOTION SIGNAL 1: Brent Swung $6 Around an Unconfirmed Iran Plan. A Polymarket Bet Rose and Fell Back.Brent hit about $112 on Tuesday, its highest in five months. It later fell to about $106. The steepest drop came after an unconfirmed report of a new Qatar and Pakistan plan for Washington and Tehran. A diplomat involved in the talks then called reports of a near deal wrong. Late Tuesday, Brent was near $109, just below Monday's settlement. The Polymarket bet from this morning's issue moved the other way, then gave the move back. It pays if Washington formally says by Oct. 31 that its Iran blockade has ended or been lifted. Early Tuesday, it was at 9.5 cents. By 11 a.m., it hit 14 cents. By 1 p.m., it was back at 10.5. At 2 p.m., the December version was near 39 cents, after making up an overnight dip. Iran's security chief said there would be no talks until the U.S. builds trust. WHAT RESOLVES THIS No government has confirmed the plan. At 2 p.m., a Polymarket contract on a Hormuz shipping deal by Friday priced no deal near 91 cents. Wednesday's Energy Department oil report lands at 10:30 a.m. SIGNAL 2: GM Beat Forecasts and Fell 7%. Equifax Cut Its Outlook and Rose 11%.General Motors (GM) beat quarterly forecasts and added a $20 billion buyback. It also narrowed its profit range for the year. The new midpoint sits below LSEG's consensus. The stock closed down about 7%. GM said next year should beat this one if demand holds and costs ease. Equifax (EFX) went the other way. It cut its full-year profit forecast, though the midpoint fell only 4 cents a share. It expects a weaker mortgage market for the rest of the year. Its shares rose about 11%. GE Aerospace (GE) raised its outlook across the board and fell nearly 4%. Its free cash flow fell 14% from a year earlier. WHAT RESOLVES THIS Tesla (TSLA) and Meta (META) report Wednesday. Watch whether outlooks again move shares more than the quarter does. SIGNAL 3: Switzerland Cleared Its First Retail Bitcoin Fund. Webull Plans Crypto Perpetuals Cleared by Kalshi.Swiss regulator FINMA approved the country's first retail fund that holds bitcoin directly. It waived its usual rule on spreading risk. It also warned that investors could lose a large part of their money. The issuer, BIT Asset Management, expects the fund to start trading in Zurich in November. Webull (BULL) plans crypto perpetual futures for eligible U.S. customers from November. They will trade on Kalshi's exchange and clear through its clearinghouse. CME Group (CME) is still fighting the CFTC in court over crypto perpetuals, including Kalshi's. Bitcoin hit its session high in the 10 a.m. hour, while oil fell. Late Tuesday, it was near $82,500. WHAT RESOLVES THIS Neither the Swiss fund's fee nor Webull's leverage terms are public yet. A court dismissal of CME's challenge would remove one obstacle to Kalshi widening its crypto products.
PARTNER SPOTLIGHT On December 10th, a powerful new law signed by President Trumpwill trigger a radical shift in America’s money system... When a small group of private companies — not the Fed — will perform a major mint of a new kind of money. And those who act before this new system fully kicks in could see gains as high as 40X by 2032. But those who fail to prepare will be blindsided by this sea change to the U.S. dollar. Go here now for the details — before the December 10th mint hits the market.
WHAT MOST WILL MISS - Ara Partners closed its first energy fund at its hard cap, with $1.8 billion of commitments. The $2.5 billion headline adds more than $700 million of co-investment. That is at least 28% of the total, by our estimate. It is the second energy fund to hit its cap in two days, after Blackstone (BX)'s.
- Census put the drop in starts at 5.2%. Its own margin of error is 11.8 points either way, so starts may not have fallen at all. Permits fell just 0.2%, though permits for single homes fell 4%.
THE CROSSOVER Private Market Trends Driving Public Market MovesReports moved prices on Tuesday. Terms decided where they came to rest. Two buyout firms are reported to be bidding for a listed company. Salesforce agreed to pay 58% over market for another. Qiagen rose after reports of a bid, then closed under the reported floor. Braze trades below a signed cash price. Brent swung $6 around a plan no government has backed. It ended near Monday's level. GM fell despite a $20 billion buyback. Holders may keep pricing in doubt until a price is signed and the path to closing is clear.
