Apollo-run funds backed SpaceX's $40 billion chip lease and all of ADT's buyout financing. Ares Capital agreed to buy a listed credit fund at about 85% of its stated value. Advent closed near $27 billion as Ares invested 17% less.

MARKET PULSE

The Fed held at 3.75% to 4% on Wednesday, by a 10-2 vote.

Lisa Cook and Beth Hammack wanted a hike. A hold leaves floating-rate private loans priced where they were. After the decision, an average of Kalshi and Polymarket put December hike odds near 83%.

Long rates moved on their own. The 30-year closed near 5.37% Wednesday. By Friday, the 10-year fell to about 4.93%, its lowest in seven weeks. That matters for refinancing. About $300 billion of buyout-backed debt starts coming due in 2028, a report said.

Tech stocks took the hit. Alphabet (GOOGL) fell about 13% Thursday. Intel (INTC) closed down about 29% Friday, and the Nasdaq about 2.9%.

Private money kept committing anyway. Where public buyers set the price, it came in lower. Here are six themes that showed it.

THEME 1

AI's Builders Tapped Every Pool of Money. SpaceX's Chip Lease Went to Private Lenders.

SpaceX (SPCX) committed to a lease covering about $40 billion of AI chips. An entity run by Apollo (APO) will buy the chips and rent them out. Apollo and Goldman Sachs (GS) led. Funds of BlackRock (BLK) and Goldman, and accounts advised by KKR (KKR), anchored it. Each batch runs about five years. The rate is set at pricing.

Bond and stock buyers took the rest. Microsoft (MSFT) sold $25 billion of bonds, reports said, its first high-grade sale since 2017. Notes run up to 40 years. Alphabet raised about $41 billion last quarter, $12.4 billion of it in new stock. Amazon (AMZN)'s spending outran its cash flow by $42.4 billion over a year. Meta Platforms (META) priced $37.5 billion of stock, and Nvidia (NVDA) will put in $3 billion.

The Signal

The build now runs on outside money. At SpaceX, lenders got a hard asset, since the lessor owns the chips. The size is set and the cost is not. The lease rate will be the first public price on chip debt at this scale.

THEME 2

Apollo Funds Backed a $15 Billion Buyout Alone. Other Buyers Skipped New Debt.

ADT (ADT) agreed to be taken private for $10 a share, about $15.3 billion with debt. Funds run by Apollo (APO) provide all of the financing commitments, in preferred equity and debt. The loan size is not disclosed. There is no financing condition.

The contract sets a $114 million fee for a rival bid signed by Nov. 28, and $227 million after. The buyer's side owes $473 million if it fails to close. ADT closed at $9.87, 1.3% under the price.

Others brought their own cash. A Trian group that includes Sixth Street proposed $7.35 a share for Wendy's (WEN), with no new debt. Surgery Partners (SGRY) signed at $23.50, about $5.7 billion with debt. Bain rolls its 39% stake, below its own $25.75 bid last year. Platinum Equity's propane deal put Oaktree beside three banks.

The Signal

One private lender can now carry a $15 billion take-private, with preferred equity on top. That leaves the go-shop as the only public test of the price. ADT's spread says traders expect no higher bid.

THEME 3

A Listed Credit Fund Sold Below Its Books. Holders of Unlisted Ones Waited or Borrowed.

Ares Capital (ARCC) agreed to buy MidCap Financial (MFIC), an Apollo-run fund, for $10.88 a share. That is 30% above Monday's close, but about 85 cents per dollar of its $12.86 stated value. The deal is about $2.6 billion with debt. Holders get no appraisal rights.

Unlisted funds kept rationing. Holders of Blue Owl Credit Income Corp. asked to sell 16.8% of its shares last quarter, filings show. It paid $931.1 million, filling 29.8% of requests. Cox Capital is testing loans of 50% to 65% of a stake's value for holders who want cash first. Australia's regulator stopped a A$573 million mortgage fund from taking new money, at least its third such order this month.

Real estate debt showed a steeper cut. Investors are set to buy part of a loan on a Frankfurt tower owned by Blackstone (BX) at 30% to 40% off, Bloomberg reported.

The Signal

When a credit fund trades, its price shows a discount the books do not. MFIC sat near 65% of stated value before the deal. Its final value lands Nov. 5.

THEME 4

Funds Raised Record Sums. They Invested Less.

Advent closed its flagship near $27 billion, above its $26 billion target. It has cashed out about $13 billion of deals this year and invested about $10 billion.

Blue Owl (OWL) raised $12.6 billion of new commitments, with a record $8.3 billion from institutions. Ares (ARES) took in $31 billion. Its deployment fell to $34.8 billion from $41.7 billion, about 17%.

Gulf money recycled. Alpha Dhabi will put $1 billion into Alpha Wave's next AI fund, partly from payouts. Apollo is putting a little over $1 billion into 10% of Mubadala Capital.

The Signal

More money is chasing fewer loans and deals. That can push terms toward borrowers and thin returns for funds raised now. Defaults are not the problem yet, but deployment is.

THEME 5

Private Marks Kept Rising. The Public Market Priced OPay at the Low End.

Kalshi raised $1 billion at $40 billion, about 1.8 times its May value. That is close to Coinbase (COIN)'s market value. Cohere closed the first part of a round of up to C$7 billion, at C$35.7 billion if fully raised. Canada's government is buying in. South Korea's state fund led FuriosaAI's $620 million round at about $2.9 billion.

The public test came in lower. OPay (OPAY) priced its IPO at $19, the bottom of its range. It raised $304 million at about $4 billion, still double its 2021 round. SK Hynix shelved a listing for Solidigm, citing market swings.

The Signal

Private rounds stepped up in a week the Nasdaq fell. The one company that faced public buyers priced at the low end. OPay's first weeks of trading are the next check on private marks.

THEME 6

Sellers of Long Cash Flows Got Full Prices. The Cash Comes Later.

GE Vernova (GEV) agreed to buy Trench from Triton for about $9 billion. That is 13 times projected 2028 EBITDA. It should close in late 2027. TPG is in talks for Elliott's Ark Data Centres at about $5 billion, the FT reported.

BCE is selling 49.9% of a new tower company to La Caisse for C$2.45 billion. Bell keeps control and pays rent, on terms not disclosed. Warburg Pincus topped Ingenia's rival bid at A$5.45 by pre-selling two units.

The Signal

Buyers still pay full multiples for grid parts, towers and data centers. They pay late, through rent or with parts sold ahead. Across the week, private money committed in size. Where public buyers set the price, it came in lower.

Rates Just Reset. Who Feels It First?

On January 2, the 10-year yielded 4.19%. By September 30, 5.29% — most of it in one quarter.

Some companies earn from higher rates. Some pay. Each runs on a different clock.
