The Loop
Apollo (APO) and Blackstone (BX) closed a $35 billion chip deal on June 8. Largest private credit deal ever. An SPV borrows the debt. Apollo puts in $800 million of equity. The SPV buys Google TPU chips. It leases them to Anthropic.
Alphabet (GOOGL) has $40 billion of Anthropic equity. Anthropic pays $200 billion back to Google over five years. $40 billion a year against a $47 billion run rate. The SPV smooths the gap.
The Structure
Broadcom (AVGO) makes the chips. Broadcom also backs the senior debt. About $30 billion sits under the backstop. If Anthropic misses payments, Broadcom pays 100% of the gap. That lifts the debt near Broadcom's rating. It never hits Broadcom's balance sheet.
Wells Fargo led the deal. It has skin in the game. The arranger is the lender.
The Gap
Anthropic filed for an IPO on June 1. Alphabet owns 14%. Google Cloud counts Anthropic as 40% of its backlog. Broadcom sells the chips. Broadcom backs the debt to buy them.
Every layer sits on someone else's book. None sits on Anthropic's. Public equity priced $205 billion Wednesday. Private credit priced the funding in May.
The Circularity Test
Pull any private credit fund with AI paper. Ask if the mark rests on Anthropic's cash flow. Or on Broadcom's guarantee. If the guarantee holds it, you own Broadcom credit risk. Rerun with Broadcom one notch lower. If it clears, hold. If not, you own a rating.

SIGNAL 1: The Neocloud Whipsaw Happened Inside Three Weeks
Meta (META) launched Meta Compute on July 1. CoreWeave (CRWV) and Nebius (NBIS) fell 15%. IREN (IREN) dropped 6.5%. Meta holds $27 billion with Nebius. It holds $21 billion with CoreWeave. The biggest customer moved to compete.
Alphabet reversed it 22 days later. CFO Anat Ashkenazi said Google Cloud will lean on third parties through Q3. All three stocks rose 4 to 6% Thursday. The Nasdaq fell 2.2%.
Stocks bounced. The risk did not.
The Whipsaw Read
If your book holds private paper marked against these three, run the case both ways. Meta pulls its business. Alphabet's bridge lasts a year. Three weeks of whipsaw sets the floor.
SIGNAL 2: Anthropic's Compute Sits on a Musk Signature
Anthropic pays SpaceX (SPCX) $1.25 billion a month for Colossus 1, the Memphis site xAI could not use. Some 220,000 Nvidia GPUs. 300 megawatts. About $45 billion over the term.
Musk called it a 180-day lease with a 90-day cancel right. Either side can exit after six months. That is a signature clock. Not a cloud contract.
Anthropic's IPO rests on that footprint. Google TPUs do not deliver scale until 2027.
The Termination Clause Read
For any Anthropic mark tied to its compute, model a 90-day forced replacement. Assume unit costs 30% higher for six months. If the mark clears, it holds. If it needs the Musk lease, you own the calendar.
SIGNAL 3: Private Capital Just Signed the AI Power Bill
Williams (WMB) closed a $5.34 billion JV with Blackstone, Apollo, and KKR on July 13. Five behind-the-meter power projects. Blackstone's leg runs through insurance capital. Williams keeps 51%.
Hut 8 (HUT) then signed a $9.8 billion AI data center lease. The stock jumped 10%. Bitcoin miners rallied 4 to 8% Thursday. Oklo (OKLO) and X-energy joined a federal AI nuclear fast-track.
Insurance capital is now long AI capex through power yield.
